Investment adviser means a person who carries on business of advising others concerning Securities or issues or promulgates analyses or reports concerning Securities or pursuant to a contract or arrangement with a client, undertakes on behalf of the client the management of a portfolio of Securities for the purpose of investment.

An investment adviser is sometimes referred to as an investment banker, who acts as an intermediary and whose principal functions are to identify companies that need financing and then provide them with advice on the corporate financing functions and methods to obtain both short term and long term financing.
